Terms of Service

"Producer.co," "we," "us," or "our" refers to the operators of the Service. "You" or "User" refers to any person who accesses the Service. "Grower" means a User who lists items for sale or trade. "Buyer" means a User who reserves, purchases, or trades for an item. "Listing" means any product or offer posted on the Service. "Order" means a reservation placed against a Listing. "Trade" means a non-cash exchange of items between Users. "Content" means any text, photos, ratings, messages, or other material submitted to the Service.

The Service is intended for adults only. You must be at least 18 years old to create an account or use the Service. By using Producer.co you represent that you are at least 18 and have the legal capacity to enter into a binding agreement. Each person may maintain only one account. You agree to provide accurate, current, and complete information about yourself and your farm or garden.

You are responsible for safeguarding your password and for any activity that occurs under your account. Notify us promptly at hello@producer.co if you suspect unauthorized access. We may require additional verification at any time. You may not transfer, sell, or share your account.

Growers are solely responsible for the accuracy of their Listings, including descriptions, pricing, photos, units, quantities, harvest dates, and pickup details. You represent that you own or have the right to use all Content you post and that your Content does not violate any law, third-party right, or these Terms. By submitting Content you grant Producer.co a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that Content for the purpose of operating and promoting the Service.

You may not list, sell, trade, or facilitate the exchange of:

• Anything illegal under federal, state, or local law in your jurisdiction
• Alcohol, tobacco, cannabis, controlled substances, or drug paraphernalia
• Foods that require a permit or license you do not hold (including, where applicable, raw dairy, meat, poultry, processed canned goods, and certain baked goods)
• Live animals, animal byproducts, or hunting/fishing yield restricted by law
• Counterfeit, stolen, or recalled goods
• Hazardous, perishable, or unsafe items that cannot be safely picked up locally

You also agree not to:

• Harass, threaten, defame, or discriminate against other Users
• Post false, misleading, or spammy Listings or reviews
• Scrape, crawl, or otherwise extract data from the Service in bulk
• Attempt to bypass, disable, or interfere with security or rate-limiting features
• Use the Service to send unsolicited commercial messages

When a Buyer reserves a Listing, the quantity is placed on hold pending pickup. Growers are expected to honor confirmed reservations and Buyers are expected to complete pickup within the agreed window. Either party may cancel before pickup; repeated cancellations, no-shows, or bad-faith holds may result in suspension. Producer.co is not a party to any transaction between Users.

Trades operate on the honor system. When you offer or accept a Trade you are entering an agreement directly with the other User. Producer.co does not verify, value, or guarantee any Trade and is not responsible for the quantity, quality, or completion of traded goods.

Producer.co does not process payments. Buyers pay Growers directly using the payment handles each Grower has provided (such as Venmo or PayPal) or in cash at pickup. We do not collect, hold, or transmit funds. Any dispute about a payment must be resolved between the Buyer and the Grower. We may, in our sole discretion, remove Users from the Service for repeated payment disputes.

You are solely responsible for determining and paying any taxes that apply to your sales or purchases, including sales, use, and income tax. Producer.co does not issue tax documents or withhold taxes on your behalf.

Growers represent that any food they list is safe for human consumption, accurately described, and produced in compliance with applicable laws. Buyers acknowledge that they are purchasing directly from individual Growers and not from a regulated food facility, and that they assume the risk of any such purchase. Producer.co does not inspect, test, or certify any item listed on the Service.

The Producer.co name, logo, design, code, and aggregated data are owned by Producer.co and are protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service except as expressly permitted by these Terms.

We may, in our sole discretion and without prior notice, suspend, restrict, or terminate your account if we believe you have violated these Terms, applicable law, or the rights of another User; if we suspect fraud, abuse, or unsafe conduct; or if your account has been inactive for an extended period.

When your account is suspended, you will lose access to listing, ordering, trading, and messaging features and you may see a notice explaining the suspension. Your data generally remains on file while suspended. You may appeal a suspension by emailing hello@producer.co. We may, but are not obligated to, restore access after review. You may close your account at any time by contacting us; certain transactional and legal records may be retained as required by law.

If you see a Listing, message, or User that violates these Terms, please report it to hello@producer.co. We may, but are not required to, review and act on reports at our discretion.

If you believe Content on the Service infringes your copyright, send a written notice to hello@producer.co that includes the works at issue, the location of the allegedly infringing material, your contact information, a statement of good-faith belief, and a statement under penalty of perjury that you are authorized to act on behalf of the rights holder.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. PRODUCER.CO DOES NOT WARRANT ANY LISTING, GROWER, BUYER, OR TRANSACTION.

TO THE FULLEST EXTENT PERMITTED BY LAW, PRODUCER.CO AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold harmless Producer.co and its operators from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Content, or your violation of these Terms or any law.

We may update these Terms from time to time. If we make material changes we will notify you through the Service or by email. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws principles. You and Producer.co agree that any dispute will be brought exclusively in the state or federal courts located in North Carolina, and you consent to personal jurisdiction in those courts.

Before filing any formal action, you agree to attempt to resolve the dispute informally by contacting hello@producer.co and giving us thirty (30) days to respond. Either party may bring an individual claim in small claims court if eligible. Class actions and class-wide arbitration are not permitted.
